Terms of Service

1. Services

Westridge Technologies Inc. ("Westridge," "we," "us") provides web development, mobile application development, eCommerce, and cloud infrastructure services. The scope, deliverables, timeline, and pricing of each engagement are defined in a written proposal or statement of work agreed upon by both parties prior to project commencement.

2. Payment terms

Payment schedules are outlined in each project proposal. Unless otherwise agreed, a deposit of 50% of the total project fee is required before work begins, with the remaining balance due upon project completion or delivery of final deliverables. All invoices are due within 14 days of issuance.

3. Intellectual property

Upon receipt of full payment, Westridge assigns all intellectual property rights in the final deliverables to the client. Westridge retains the right to use project work in its portfolio and for promotional purposes unless explicitly agreed otherwise. Any third-party software, frameworks, or libraries used in a project remain subject to their respective licenses.

4. Delivery and revisions

Project timelines are defined in the agreed proposal. Westridge will deliver work to specification as outlined in the proposal. Each project includes one round of revisions within the agreed scope. Additional revision rounds or scope changes will be quoted separately.

5. Limitation of liability

Westridge's liability for any claim arising out of or relating to services provided is limited to the total fees paid for the specific project giving rise to the claim. Westridge is not liable for indirect, incidental, or consequential damages including lost revenue or business interruption.

6. Termination

Either party may terminate a project engagement with 14 days written notice. In the event of termination, the client is responsible for payment for all work completed to the date of termination. Westridge will deliver all completed work product upon receipt of final payment for completed work.

7. Governing law

These terms are governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of British Columbia.
